Terms of Service

These Terms of Service ("Terms") govern your access to and use of ProPilot ("ProPilot," "the Service," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms, our Privacy Policy, Acceptable Use Policy, and all other posted policies incorporated herein by reference. If you do not agree, you may not use the Service.

1. Agreement to Terms

By using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. You also represent that you have the authority to enter into these Terms.

2. Description of Service

ProPilot is a real estate investment platform that provides tools including, but not limited to:

• Property analysis, deal scoring, and market value estimation
• SMS and communication tools for contacting listing agents
• Lead, agent, and pipeline management
• Workflow management and follow-up tools
• Market monitoring, alerts, and saved property tools

The Service includes proprietary algorithms, models, scoring systems, workflows, and user interface elements developed by ProPilot. These components are confidential and may not be copied, reproduced, or used to create competing services.

ProPilot does not provide legal, financial, or investment advice. All investment decisions are your sole responsibility.

3. SMS Messaging Terms

3.1 User Obligations for SMS

Prior to accessing messaging functionality, you must accept the ProPilot Acceptable Use Policy. Before SMS is enabled, ProPilot places an automated voice consent call to the listing agent contact number publicly provided on the specific property listing. The recipient hears: "This is an automated message from ProPilot. An investor is interested in your listing at [Property Address]. Press 1 to receive this inquiry via SMS, Press 2 to decline. You can reply STOP to any message to opt out."

SMS messaging is enabled only when consent is captured through voice call keypress (Press 1). If consent is not captured, or Press 2 is captured, SMS remains blocked and no SMS is sent. No SMS is sent without a recorded Press 1 consent event.

This recipient-facing consent flow uses a fixed scripted automated voice call and touch-tone keypress input only. It is not a live AI conversation, and AI does not make consent or messaging eligibility decisions in this flow.

You agree to:

• Have a lawful basis and legitimate business purpose for each recipient you contact
• Only send messages for legitimate real estate–related purposes
• Not send unsolicited, bulk, or spam messages
• Immediately honor opt-out requests
• Not attempt to recontact recipients who have opted out
• Maintain accurate records of your lawful basis for contacting recipients
• Comply with all applicable federal, state, and local laws, including:
  • Telephone Consumer Protection Act (TCPA)
  • CTIA Messaging Guidelines
  • A2P 10DLC carrier rules

ProPilot provides tools to aid compliance, but you alone are responsible for ensuring that your communications and messaging practices comply with applicable laws.

3.2 Message Frequency and Limits

ProPilot applies the following messaging guardrails to ensure responsible communication:

• All agent messages are user-initiated, manually composed, and sent one-by-one. There is no automated bulk outreach.
• The first message must clearly include sender identification and business context
• A maximum of 1 follow-up message per property inquiry (2 total messages, including the initial message) may be sent unless that recipient replies
• Users are limited to a maximum of 50 outbound messages per day
• Messages may only be sent during configurable business hours. Messages composed outside operating hours may be delayed to the next allowed window.
• No messages are sent on platform-designated blackout dates (holidays, etc.)

ProPilot may automatically pause or restrict messaging if:

• A recipient replies STOP
• Carrier filtering is triggered
• Abuse or suspicious activity is detected
• Compliance concerns arise

3.3 Opt-Out Instructions

3.4 Message Rates and Frequency

Message and data rates may apply depending on the recipient's mobile carrier. Recipients may receive up to 1 follow-up message per property inquiry unless they respond. Initial messaging includes sender identification, property context, and opt-out instructions: "Reply STOP to opt out. Msg&Data rates may apply." Reply HELP for assistance.

3.5 Monitoring and Enforcement

ProPilot may monitor message delivery, block sending, suspend accounts, or take other actions to protect carriers, recipients, and the platform from misuse. ProPilot may block, filter, delay, or prevent delivery of messages to enforce these Terms, carrier requirements, and platform policies.

4. User Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All actions taken under your account
• Ensuring your use of the Service complies with all applicable laws
• The accuracy, legality, and truthfulness of all data you upload or transmit
• Verifying the accuracy of valuations and analysis before making any investment decisions

You represent and warrant that:

• You have the right to use any data uploaded to the Service
• You will not misuse the platform's communication tools
• You will comply with real estate, advertising, privacy, and communication laws

You may not use the Service or any data obtained from it to build, train, or improve any competing product, dataset, AI model, or database.

5. Prohibited Uses

You may not, directly or indirectly:

• Copy, reproduce, duplicate, imitate, emulate, or reverse engineer any part of the Service, including algorithms, data structures, models, scoring systems, code, UI, workflows, or automation logic.
• Scrape, harvest, export, download, or extract data from the Service, including property data, analysis results, scores, agent information, or metadata, except through features explicitly provided for export.
• Build or assist in building any competing real estate platform, AI automation system, dataset, or analytics product using ProPilot or data derived from the Service.
• Use bots, crawlers, scripts, scraping tools, or automated methods to access or interact with the Service (other than approved public APIs).
• Sublicense, resell, distribute, or commercialize the Service or its data.
• Attempt to bypass security controls, rate limits, or technical restrictions.
• Share account access or credentials with third parties.
• Send unsolicited messages, spam, or non-compliant SMS communications.
• Upload harmful code, viruses, or otherwise disrupt the Service.
• Interfere with or impair the operation of the Service or its infrastructure.

ProPilot retains full discretion to determine violations.

6. User Content and License

By uploading or submitting content (property notes, messages, contacts, or data), you grant ProPilot a non-exclusive, worldwide, royalty-free license to:

• Host, store, transmit, display, and process the content
• Provide, maintain, and improve the Service
• Maintain backups and system logs

You retain all ownership rights to your content.

This license does not grant you any rights to:

• ProPilot's underlying software, models, workflows, UI, algorithms, databases, scoring formulas, or derived datasets.

You may not copy or leverage the structure, sequence, organization, or logic of the Service to create derivative or competing works.

7. Intellectual Property

All rights, title, and interest in and to ProPilot, including but not limited to software, source code, algorithms, data structures, scoring systems, automation workflows, designs, branding, UI, documentation, and system architecture, are owned by ProPilot and protected under copyright, trademark, trade secret, and other IP laws.

You may not:

• Copy or reproduce any element of the Service
• Use the Service to develop competing systems
• Train AI models using ProPilot content, data, or outputs
• Reverse engineer or attempt to derive proprietary formulas or logic

All rights not expressly granted are reserved.

8. No Warranties

The Service is provided on an "as is" and "as available" basis. ProPilot makes no warranties, express or implied, including:

• Non-interruption or error-free operation
• Accuracy, completeness, or reliability of property data or valuations
• Suitability for any investment purpose
• Performance of communication features

Your use of the Service is at your own risk.

9. Limitation of Liability

To the maximum extent permitted by law:

• ProPilot shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill.
• ProPilot's total liability to you shall not exceed the amount paid by you in the three (3) months prior to the event giving rise to the claim.

Some jurisdictions do not allow certain limitations, and these limitations may not apply in such jurisdictions.

10. Indemnification

You agree to indemnify, defend, and hold harmless ProPilot, its owners, employees, contractors, and partners from any claims, damages, losses, liabilities, or expenses arising out of:

• Your use of the Service
• Your SMS communications
• Your violation of laws, including TCPA, CTIA, and real estate regulations
• Your content or data
• Your breach of these Terms

11. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for:

• Violations of these Terms
• Abuse of messaging features
• Legal or compliance risks
• Non-payment
• Conduct harmful to the platform or other users

Upon termination, your data will be handled according to our Privacy Policy.

12. Changes to Terms

We may modify these Terms at any time. When changes occur:

• The "Last Updated" date will be revised
• Continued use of the Service constitutes acceptance of revised Terms

13. Governing Law

These Terms will be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute shall be resolved exclusively in the courts of the State of Delaware.

14. Enforcement

ProPilot reserves the right to investigate any suspected violation of these Terms. We may:

• Restrict access
• Suspend or terminate accounts
• Disable or limit features
• Block IP addresses
• Remove or delete data
• Report unlawful conduct to authorities
• Pursue legal or equitable remedies, including injunctive relief

You agree that monetary damages may be inadequate for breaches involving intellectual property, scraping, or competitive misuse, and ProPilot may seek injunctive relief without posting bond.
